NOTICE OF PUBLIC HEARING
YOU ARE HEREBY NOTIFIED that, pursuant to the provisions of Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), a public hearing (the “Hearing”) will be held on the 28th day of May, 2026, at 9:30 a.m., by a Hearing Officer of the Development Authority of DeKalb County (“Decide DeKalb”), regarding a plan of finance (the “Plan of Finance”), proposed by The Centurion Foundation, Inc., a Georgia nonprofit corporation and an organization described in Section 501(c)(3) of the Code (together with any parent, subsidiary, or other affiliate, the “Borrower”), involving the issuance by the National Finance Authority, a component unit of the Business Finance Authority of the State of New Hampshire (the “Issuer”) of its qualified 501(c)(3) bonds, as defined in Section 145 of the Code, in one or more series or subseries, pursuant to the Plan of Finance, in an aggregate principal amount not to exceed $225,000,000 (the “Bonds”), the proceeds of which will be used to finance the Project, as hereinafter described. The Hearing will be held via teleconference in accordance with Revenue Procedure 2022-20 and will be accessible by dialing 888-573-8199 (Meeting ID: 860151145).
The proceeds of the Bonds will be loaned to the Borrower for the purpose of (1) financing all or a portion of the costs of acquisition, demolition, construction, expansion, renovation, repair, build-out and/or equipping of existing facilities generally located at 4800 Briarcliff Road and generally bounded by Briarcliff Road NE, Henderson Mill Road, Northlake Parkway NE, and Parklake Drive NE, in DeKalb County, Georgia, which facilities will be used as healthcare, healthcare administrative, and retail facilities (the “Project”); and (2) paying certain expenses incurred in connection with the issuance of the Bonds. The Project will be leased to Emory Healthcare, Inc., a Georgia nonprofit corporation and an organization described in Section 501(c)(3) of the Code, or an affiliate thereof (together with any parent, subsidiary, or other affiliate, “Emory Health”). The Borrower will be the initial owner of the Project, and Emory Health will be the principal user of the Project, in accordance with their charitable purposes.
The Bonds and the obligation to pay principal of and interest thereon and any redemption premium with respect thereto do not constitute indebtedness or general obligation of Decide DeKalb, the Issuer, DeKalb County, the State of New Hampshire, or the State of Georgia or any political subdivision thereof, within the meaning of any constitutional or statutory debt limitation, or a charge against the general credit or taxing powers of any of them. The Bonds shall be a limited obligation of the Issuer, payable solely from certain revenues duly pledged therefor and generally representing amounts paid by the Borrower.
The Bonds may be issued by the Issuer pursuant to the Plan of Finance from time to time and in one or more series in an aggregate principal amount of up to $225,000,000 during the three-year period commencing on the first date on which Bonds are issued. It is the intention of the Borrower and the Issuer that the first series of Bonds will be issued not later than one year from the date of the Hearing.
Any person interested in the proposed issuance of the Bonds or the Project to be financed by the Bonds may appear at the Hearing using the conference call dial-in instructions set forth above and be heard or may submit their views in writing. Written comments should be submitted to Decide DeKalb Development Authority, One West Court Square, Suite 550, Decatur, Georgia 30030, Attention: Hearing Officer, and should be mailed in sufficient time to be received before the date of the hearing.
The Issuer and Decide DeKalb will not conduct any performance audit or performance review with respect to the Bonds as such terms are described in Section 36-82-100, Official Code of Georgia Annotated.
This notice is published pursuant to the requirements of Section 147(f) of the Code.
